LEXXMATE – WEBSITE & SERVICE TERMS AND CONDITIONS

1. Overview & Quick-Read

These Terms and Conditions (“Terms”) form a binding contract between LexxMate s.r.o. (“LexxMate,” “we,” “our,” “us”) and the natural or legal person who visits lexxmate.com or creates an account (_“you,” “your,” or the “Client”).

LexxMate delivers AI-assisted legal-information and drafting support for football clubs and related organisations. We are not a law firm, do not practise law, and do not create a solicitor-client relationship. By using the Site or any LexxMate service, you accept these Terms in full.

If you disagree with any clause, do not use the Services.

2. Eligibility

• You warrant that you are at least 18 years old and have full authority to bind the entity on whose behalf you accept these Terms.

• The Services are designed for business users only; we do not knowingly enter consumer contracts.

3. Nature of the Services —

No Legal Advice

1. Informational only. LexxMate provides automated document suggestions, play-book style guidance, and educational content.

2. No solicitor-client relationship. Using the Services does not create an attorney-client relationship, partnership or fiduciary duty between you and LexxMate.

3. Independent review required. You agree to obtain professional legal review from a qualified lawyer in your jurisdiction before relying on any Output.

Entire Risk You accept full responsibility for how you use the Output and hold LexxMate harmless for any consequences (see § 15).

4. Account Creation & Security

• Provide accurate contact and billing information.

• Safeguard your passwords and 2FA codes; you are responsible for all activity under your account.

• Notify privacy@lexxmate.com immediately of any unauthorised use.

5. Subscriptions, Fees & Taxes

• Prices, billing cycles and plan features are shown on lexxmate.com/pricing.

• Charges are processed by Stripe; all amounts are exclusive of VAT unless stated otherwise.

• No refunds after a billing cycle has begun, except where mandatory law requires otherwise.

Late payment or chargeback may result in suspension or termination (§ 14).

6. Licence to Client Content

You grant LexxMate a non-exclusive, worldwide, royalty-free licence to host, process and display Client Content solelyto deliver the Services. We do not claim ownership in your material.

7. Licence to Output & Intellectual Property

• You receive a perpetual, worldwide, non-exclusive licence to use, modify and redistribute the Output for any lawful purpose.

• LexxMate and its licensors retain all rights in the underlying software, prompts, UI, and proprietary models.

• You may not scrape, reverse-engineer or resell access without express written consent.

8. Acceptable-Use Rules

You shall not:

1. Upload content that infringes third-party IP, privacy or personality rights.

2. Use the Services for unlawful, deceptive, discriminatory or abusive purposes.

3. Introduce viruses, malware or attempt to bypass security controls.

4. Benchmark or publicly disseminate performance results without permission.

Violation may lead to immediate termination (§ 14).

9. Confidentiality

LexxMate treats Client Content as confidential and uses industry-standard safeguards (AES-256 at rest, TLS 1.3 in transit).

We will not disclose Client Content except:

• to employees and subprocessors who need access to deliver the Services and are bound by equivalent duties;

• when required by law or valid court order (we will, where lawful, notify you in advance).

10. Privacy

Personal-data processing is governed by our Privacy Policy (incorporated here by reference).

By using the Services, you consent to the data practices described therein.

11. Third-Party Services

The Site may integrate Stripe, Plausible Analytics, Cloudflare, OpenAI API or others.

LexxMate is not responsible for third-party terms, privacy statements or availability.

12. Service Levels & Maintenance

• LexxMate targets 99 % monthly Uptime measured on the app API gateway.

• Planned maintenance will be announced at least 24 hours ahead where practicable.

• In the event of a prolonged outage (> 8 consecutive hours), your sole remedy is a pro-rated credit of the monthly fee.

13. Disclaimers

1. No Warranty. The Services and Output are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, accuracy or non-infringement.

2. Exclusion of Law-Practice. LexxMate does not provide legal representation or appear before courts or authorities.

3. Beta Features. Any experimental feature may be changed or removed at LexxMate’s sole discretion.

14. Termination

• Either party may terminate at any time for convenience by written notice (e-mail suffices).

• LexxMate may suspend or terminate immediately for breach of these Terms or if required by law.

• Upon termination, your licences to the Services cease, but the licences granted to you for Output survive.

15. Limitation of Liability

To the maximum extent permitted by law:

• LexxMate’s aggregate liability arising out of or related to the Services shall not exceed the greater of (i) € 100 or (ii) the fees paid by you in the previous three months.

• LexxMate shall not be liable for indirect, incidental, consequential, punitive or special damages, lost profits, business interruption, or loss of data, even if advised of the possibility.

Certain jurisdictions do not allow limitation of implied warranties or liability; if so, our liability will be limited to the minimum permitted by law.

16. Indemnification

You agree to indemnify, defend and hold harmless LexxMate and its officers, directors, employees and agents from any claims, damages, liabilities, costs and expenses (including reasonable attorneys’ fees) arising from:

• your use or misuse of the Services;

• your breach of these Terms;

• your violation of any law or the rights of a third party.

17. Governing Law & Dispute Resolution

• Governing Law – These Terms are governed by Slovak law, excluding conflict-of-law rules.

• EU Consumer ADR – Not applicable (B2B only).

• Arbitration – All disputes shall be finally settled under the Rules of Arbitration of the Slovak Chamber of Commerce and Industry by one arbitrator appointed in accordance with said Rules. Seat: Bratislava. Language: English. The award shall be confidential and binding.

• Either party may seek interim injunctive relief in any competent court.

18. Force Majeure

Neither party shall be liable for failure to perform caused by events beyond reasonable control, including acts of God, war, pandemic, governmental restriction, or internet outages.

19. Assignment

LexxMate may assign or transfer its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition or sale of assets. You may not assign these Terms without prior written consent.

20. Entire Agreement & Severability

These Terms, together with the Privacy Policy and any Order Form, constitute the entire agreement between the parties, superseding all prior discussions.

If any provision is held unenforceable, the remainder will continue in full force, and the invalid clause will be replaced by a valid one that most closely reflects the original intent.

21. Updates to the Terms

LexxMate may amend these Terms from time to time. We will provide at least 14 days’ advance notice (e-mail or in-app) of any material change.

Continued use after the effective date constitutes acceptance.
